Representative matters of Ryan Law’s Business Litigation practice include:
- Represented a shareholder and the company in a shareholder derivative suit involving claims against various directors and officers including fraud, misappropriation of corporate assets, breaches of various fiduciary duties and self dealing.
- Represented a retail business and its owner in a breach of contract action regarding an exclusive use provision that was specifically negotiated to protect our client’s core business but was nevertheless breached by the commercial landlord.
- Appointed as Special Counsel to the Trustee in a Chapter 7 Bankruptcy proceeding filed by the Debtor company which was in the business of developing electronic trading applications for the financial services industry. Responsible for investigating the Debtor’s acts, assets, financial condition, liabilities, and assisting with the administration of the Debtor’s estate.
- Represented a national commercial landlord in a breach of contract action against a commercial tenant for breach of a commercial lease.
- Represented a company and its President in a case brought by the City of Chicago seeking to enforce a tax assessment against the President individually. Following trial, the Judge issued a 34-page written opinion quashing the tax assessment in its entirety.
- Represented an investor successfully recoup his investment from an international financial services and proprietary trading firm.
- An accountant with forty years of accounting experience retained Ryan Law to wind-up and dissolve an accounting practice and to engage in pre-suit negotiations with his partner regarding client retention, asset distributions, capital and other contribution resolutions and operational issues.
